IQVIA Announces Pricing of Offering of Senior Notes

DANBURY, Conn. & RESEARCH TRIANGLE PARK, N.C.–(BUSINESS WIRE)–IQVIA Holdings Inc. (“IQVIA”) (NYSE:IQV) today announced that its wholly owned subsidiary, IQVIA Inc. (the “Issuer”), priced an offering of €711,000,000 in aggregate principal amount of senior notes due 2028 (the “Notes”). The proceeds from the Notes offering will be used to redeem all of the Issuer’s outstanding 3.500% senior notes due 2024, including the payment of premiums in respect thereof, to repay a portion of the existing borrowings under the Issuer’s revolving credit facility and to pay fees and expenses related to the Notes offering.

The Notes will bear interest at a rate of 2.875% per annum and will pay interest semi-annually in arrears on June 15 and December 15 of each year, beginning on December 15, 2020. The Notes will mature on June 15, 2028, unless earlier repurchased or redeemed in accordance with their terms. The issuance of the Notes is expected to occur on or about June 24, 2020, subject to the satisfaction of customary closing conditions.
