Novan Announces Closing of Approximately $15.0 Million Registered Direct Offering Priced At-the-Market

DURHAM, N.C., June 13, 2022 (GLOBE NEWSWIRE) — Novan, Inc. (“the Company” or “Novan”) (Nasdaq: NOVN), today announced the closing of the Company’s previously announced registered direct offering priced at-the-market under Nasdaq rules with an institutional investor of an aggregate of (i) 2,080,696 shares of its common stock and accompanying warrants to purchase up to 2,080,696 shares of common stock and (ii) pre-funded warrants to purchase up to 3,180,615 shares of common stock and accompanying warrants to purchase up to 3,180,615 shares of common stock, resulting in total gross proceeds of approximately $15.0 million. The shares (or pre-funded warrants in lieu thereof) and accompanying warrants were sold together, each consisting of one share of common stock or a pre-funded warrant to purchase one share of common stock, as the case may be, and a warrant to purchase one share of common stock, at an offering price of $2.851 per share and accompanying warrant and $2.841 per pre-funded warrant and accompanying warrant. The pre-funded warrants are exercisable immediately, have an exercise price of $0.01 per share and will be exercisable until all of the pre-funded warrants are exercised in full. The warrants are exercisable immediately, have an exercise price of $2.851 per share, and will expire five years from the date of issuance. Oppenheimer & Co.
