Moderna Announces Proposed Public Offering of Shares of Common Stock

CAMBRIDGE, Mass.–(BUSINESS WIRE)–Moderna, Inc. (Nasdaq: MRNA), a clinical stage biotechnology company pioneering messenger RNA (mRNA) therapeutics and vaccines to create a new generation of transformative medicines for patients, today announced that it has commenced an underwritten public offering of $500 million in shares of common stock. In addition, Moderna expects to grant the underwriters a 30-day option to purchase up to an additional $75 million in shares of common stock in connection with the public offering. All shares of common stock will be offered by Moderna.

Moderna expects to use the net proceeds of the offering to fund clinical development and drug discovery in existing and new therapeutic areas; to fund further development of its mRNA technology platform and the creation of new modalities; and the remainder to fund working capital and other general corporate purposes.

Goldman Sachs & Co. LLC and Morgan Stanley & Co. LLC are acting as joint book-running managers for the offering.
